Terms of Service

These Terms of Service ("Terms") govern your use of systemsnotstaff.com (the "Site") and the services offered through it by Systems Not Staff ("we," "us," or "our"). By using the Site or booking a service, you agree to these Terms. If you do not agree, do not use the Site.

Our services

We offer AI systems consulting, including paid audits, fixed-price systems builds, and an ongoing systems concierge service. Descriptions on the Site are summaries; the specific scope, deliverables, timeline, and fees for an engagement are set out in the booking, proposal, or statement of work for that engagement, which controls if it conflicts with these Terms.

Content on the Site is provided for general information only. It is not legal, financial, or other professional advice, and results described on the Site are illustrative — outcomes depend on your business and are not guaranteed.

Booking and payment

  • Bookings and payments are handled through third-party scheduling and payment providers, subject to their own terms.
  • Fees are stated at the time of booking or in your proposal and are due as stated there. You are responsible for any applicable taxes.
  • If you need to reschedule a booked call, give us reasonable notice. Refunds, when applicable, are governed by the guarantee or refund terms stated for the specific service at the time of purchase.

Your responsibilities

  • Provide accurate information and timely access to the materials, tools, and decisions needed to deliver an engagement.
  • Ensure you have the rights to any content, data, or systems you give us access to.
  • You are responsible for how you use deliverables in your business, including compliance with laws that apply to you.

Intellectual property

The Site and its content — text, design, graphics, and branding — are owned by us or our licensors and protected by intellectual-property laws. You may not copy, republish, or exploit the Site's content without our written permission. Ownership and license terms for engagement deliverables are set out in the applicable proposal or statement of work; unless stated otherwise there, on full payment you receive the deliverables and we retain our pre-existing tools, know-how, and generic components.

Acceptable use

You agree not to:

  • Use the Site for any unlawful purpose.
  • Attempt to probe, disrupt, or gain unauthorized access to the Site or its infrastructure.
  • Scrape, harvest, or misuse data or content from the Site.
  • Misrepresent your identity or affiliation.

Third-party services and links

The Site links to and integrates with third-party services (scheduling, payments, advertising platforms). We are not responsible for third-party services, their content, or their terms and privacy practices.

Disclaimers

The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any business outcome will result from our services except as expressly stated in a written guarantee for a specific service.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Site or our services. Our total liability for any claim arising out of these Terms or an engagement is limited to the amount you paid us for the service giving rise to the claim in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any third-party rights.

Termination

We may suspend or terminate your access to the Site at any time for conduct that violates these Terms. Termination of an active engagement is governed by the terms of that engagement.

Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Systems Not Staff is established, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be resolved in the courts of that jurisdiction, and you consent to their venue and personal jurisdiction. Before filing any claim, you agree to contact us first and attempt to resolve the dispute informally.

Changes to these Terms

We may update these Terms from time to time. The updated version will be posted here with a new date at the top, and your continued use of the Site after changes take effect constitutes acceptance.
